TERMS AND CONDITIONS

1. INTERPRETATION

1.1 Definitions In these terms and conditions:

• “We”, “our”, or “us” means Oriadelots Limited.
• “You” or “your” means the customer purchasing Goods from Oriadelots Limited.
• “RTB” (Return to Base) or “RMA” (Return Merchandise Authorisation) means the process for returning goods.
• “Date of Delivery” means the verified date on which the Goods were delivered to the Customer, as confirmed by the courier.
• “Goods” means the items to be supplied by Oriadelots Limited to the Customer.
• “Party” means either Oriadelots Limited or the Customer, and “Parties” shall mean both.
• “VAT” means Value Added Tax.
• “Working Day” means any day other than a Saturday, Sunday, or public holiday.

1.2 Construction In these terms and conditions, unless the context otherwise requires:

1.2.1 The word ‘including’ (and similar expressions) shall be understood as meaning ‘including without limitation’.

1.2.2 The headings to these clauses are for informational purposes only and do not affect the interpretation of this document.

2. STOCK AND PRICING

2.1 All stock lists, email communications, or website content serve as an indication of available items. No order placed by you shall be binding upon us unless and until we officially confirm it.

2.2 We are not liable for typographical errors on any invoices, company forms, written correspondence, or our website. However, we make every effort to ensure all information provided is correct and accurate.

3. PAYMENT

3.1 Upon mutual agreement of an order, we will issue an invoice for the full amount due. Payment in full is required prior to shipment, unless alternative terms have been expressly agreed upon in writing.

3.2 All payments must be made in NGN (Naira), unless otherwise explicitly stated. The amount payable may be displayed in other currencies for reference only.

3.3 Title to all Goods shall remain the property of Oriadelots Limited until the corresponding invoice is paid in full.

4. CANCELLATION

4.1 The Customer has the right to cancel an order, or any part of an order, provided the Goods have not yet been dispatched by us. All cancellations must be submitted in writing and will be subject to a restocking fee equivalent to 5% of the total invoiced amount for the cancelled Goods.

5. DELIVERY

5.1 Any damage to Goods or shortages in the order must be reported to us within 48 hours of receiving the delivery. Failure to provide notification within this timeframe may result in the rejection of any subsequent claim.

5.2 We will provide an estimated time of delivery upon request.

5.2.1 We are not responsible for the transportation of Goods and are therefore not liable for delays in delivery. Consequently, compensation for late deliveries is not guaranteed. Any such compensation remains at the sole discretion of Oriadelots Limited.

6. WARRANTY

6.1 We provide a 7-Day Return to Base (RTB) warranty on all Goods, unless otherwise stated. This warranty is valid from the initial Date of Delivery and extends only to the original purchaser.

6.2 During the warranty period, we will, at our discretion, repair or replace the product to restore its full working capacity. Should repair or replacement fail to restore full functionality, we reserve the right to issue a credit note for the full or partial amount.

6.3 Shipping and delivery costs are not covered under this warranty. The Customer is responsible for all costs associated with returning the Goods to us.

6.4 We guarantee that all batteries supplied will have a minimum of 50% of their original design capacity. However, we do not guarantee the serviceable lifespan of the battery.

6.5 A return (RMA) will be rejected under the following conditions:

• If the Goods are not returned in the same condition as they were sold.
• If the Goods are packaged inadequately, or if the method of packaging could have reasonably resulted in damage during transit.
• If the Customer fails to fully and accurately complete our official RMA form.

6.6 We reserve the right to void any warranty if there is evidence of misuse, abuse, or tampering. This includes any alteration or service attempt by any party other than our authorised technicians or personnel recommended by us.

6.7 This warranty does not cover any problems arising from an 'Act of God' (such as lightning, flooding, etc.), electrical spikes or surges, or issues arising from hardware, software, or additional devices added to complement any system or component purchased from us.

6.8 We are not responsible for any loss of data or time, even in the event of hardware failure.

6.9 Our total liability for any claim shall not exceed the original purchase price of the Goods.

6.10 We make no other warranty, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or conformity to any representation or description.  

7 VAT (VALUE ADDED TAX)

7.1 All amounts stated are exclusive of VAT, which shall be charged at the prevailing rate where applicable.

7.2 Any Goods sold under separate or specialist VAT schemes will be clearly identified as such and reflected accordingly on the invoice.
